A penalty clause contained in a contract shall be considered as valid and applicable under Swiss Law if it contains all the necessary elements required for such purpose: a) the parties bound thereby are mentioned, b) the kind of penalty has been determined, c) the conditions triggering the obligation to pay it are set, and d) its measure is identified.
